The Texas State Bar has scheduled a webcast for corporate directors titled Director Duties in Troubled Times: Process and Proof for Tuesday, January 27, from 2 to 3 p.m. CST.
The webcast is intended to help corporate officers execute their fiduciary duties without breaches in those duties that can subject then to litigation and potential liabilities. Directors and officers have the benefit of a business judgment rule that protects their independent judgment, but if questioned they must demonstrate their actions were taken in good faith. Recent court decisions have shown increasing judicial scrutiny and the importance of minutes and other documents to show the proper process was followed.
Panelists Cullen M. Godfrey, general counsel to the Texas A&M Health Center, and Byron Egan, Jackson Walker L.L.P., will discuss recent court decisions and the lessons that can be learned from them.
