The Bar Association of San Francisco has scheduled a lunchtime seminar -Pulling the Trigger on Stock Repurchases under Buy-Sell Agreements - on Wednesday, September 22, from noon to 1:30 p.m.
It will be held at the BASF Conference Center, 301 Battery Street in San Francisco.
In this program, the faculty will discuss practical considerations when terminating events in corporate buy-sell agreements trigger repurchase rights and required buy-backs, including enforceability of and challenges to price and valuation provisions; termination by divorce and impact of a divorcing spouse's rights, spousal consents, and the company's rights; updating and amending buy-sell agreement repurchase price mechanisms; and alternatives for funding stock repurchases and practical consequences.
Gilda R. Turitz and Raquel L. Sefton, Sideman & Bancroft LLP, and Vanessa Hill, Hemming Morse, Inc., are the program speakers.
