PLI To Review Hot Issues In Securities Law

On Thursday and Friday, December 16 and 17, PLI will offer a CLE seminar to teach attorneys, accountants, financial and compliance officers, and others how to prepare for the upcoming proxy season.Hot Issues in Securities Law 2010: Disclosure Topics and Trends & How to Prepare for the Upcoming Proxy Season (combo) will run from 9:00 a.m. to 5:00 p.m. both days at the PLICalifornia Center, 685 Market Street in San Francisco.

In the first segment, attendees will receive the latest information on topics affecting disclosure documents, with an emphasis on hot issues, best practices and practice pointers, such as tips on dealing with current disclosure rules and pointers on dealing with the SEC staff; disclosure developments at the SEC; FASB and SEC staff developments regarding financial statement disclosures; practical how-to guidance on drafting disclosure documents; and pending legislative and regulatory developments that will affect future disclosures.

Highlights of the segment about preparing for the upcoming proxy season include updates on current hot topic executive compensation disclosures and requirements; shareholder proposal developments; shareholder activism, shareholder access, and proxy solicitation updates; new proxy disclosure rules; annual meeting mechanics and practices; and the Dodd-Frank Act and its implications for the upcoming proxy season.
