New York State Bar Features LLCs - Their Formation And Operations

Dealing with LLC Formation and Operating Issues, sponsored by the New York State Bar, will be held at the New York Hotel Pennsylvania at 401 Seventh Avenue (at 33rd Street), New York City on Tuesday, December 1, from 8:30 a.m. until 12:35 p.m.

This practical, half-day program goes beyond a survey-type course and explains how to use LLCs for different business transactions. Following review of general guidelines for forming LLCs and some basic drafting points that are common to all LLC operating agreements, the panelists will discuss how to tailor an LLC for specific transactions with emphasis on structure and drafting considerations. The speakers will also address tax and other financial issues applicable to LLCs in general as well as specific areas of interest. The speakers will analyze terms and provisions that should or should not be in an operating agreement, given the client's objectives, and will recommend drafting tips as well as including recommended clauses analyzed by the faculty which will be distributed to each registrant.

Moderator of the program will be Bruce A. Rich of Carter Ledyard & Milburn LLP. Speakers will include Udi Grofman and Jason S. Kaplan of Schulte Roth & Zabel, Laurence Keiser of Stern Keiser Panken & Wohl, LLP and Peter A. Mahler of Farrell Fritz.
