The program, sponsored by MCLE, titled A Practical Guide to Business Acquisition Agreements is designed for attorneys seeking to improve their practical skills in drafting, negotiation, and closing business acquisition agreements.It is scheduled for Thursday, April 30 at the MCLE Conference Center, 10 Winter Place, Boston commencing at 9 a.m and concluding at 1 p.m.
The faculty of experts will include William F. Griffin, Jr., Davis, Malm & D'Agostine, PC; Sophie C. Migliazzo, Davis, Malm & D'Agostine, PC; Donald H. Siegel, Posternak Blankstein & Lund LLP; and George W. Tetler, III, Bowditch & Dewey LLP.
They will give the audience an overview of the business acquisition process, analyzing the various clauses in a typical acquisition agreement and providing practical advice for drafting and negotiating agreements on behalf of both buyers and sellers. Using hypothetical negotiation sessions involving stock purchase and asset purchase transactions, the faculty members will illustrate common issues for negotiators and suggest ways of resolving conflicting positions. The faculty also will examine recent trends in "deal points" in private and public acquisitions.
