Massachusetts CLE has scheduled a program titled Due Diligence: Practical Advice to Avoid Deal Breakers and Pitfalls on Tuesday, December 9 from 9 a.m. to 1 p.m. at the MCLE Conference Center, 10 Winter Place, Boston.
It will be chaired by Laurence P. Naughton of Choate Hall & Stewart LLP. He will be joined by an expert faculty that includes Eric C. Burnett, Wilmer Cutler Pickering Hale and Dorr LLP; James R. Kasinger, Goodwin Procter LLP; and Edwin C. Pease, Brown Rudnick.
The course is designed to help attorneys understand the role of the due diligence process and how best to perform the exercise.
The agenda will cover an overview of the importance of due diligence; the associate's role in the process; due diligence in public offerings and private placements; in the M&A context; relating to intellectual property matters; how to prepare an initial due diligence request list and how the results of the review can and should impact the transaction documents; and common mistakes and pitfalls that consitute potential deal breakers.
