The Massachusetts Bar Association has planned a program for Wednesday, November 5 from 4 to 7 p.m. titled Limited Liability Companies vs. Business Corporations: Legal, Tax and Accounting Considerations. It will be held at the MBA, 20 West Street, Boston.
Chairing the program will be David A. Parke, Bulkley, Richardson & Gelinas LLP. He will be joined by Rod D. McCorkill, Moriarty & Primack PC and Howard D. Medwed, Burns & Levinson LLP.
They will focus on legal, tax and accounting considerations in choosing between a limited liability company or a business corporation for the operation of a business enterprise. The panel will discuss differences between the Massachusetts Limited Liability Company Act and Massachusetts Business Corporation Act as they relate to the organization and management of these entities. There will also be a presentation regarding the features of C corporation, S corporation and partnership income taxation, and how those features affect the choice of entity decision. The program will also address accounting issues relating to these entities and considerations in drafting the limited liability company operating agreement and a corporation's organizational documents.
