The Dodd-Frank Act imposes a number of significant changes on public reporting companies in the areas of executive compensation and corporate governance. Such companies have survived the first round of say-on-pay, but what's next? The SEC has begun to issue proposed rules on other executive compensation requirements of Dodd-Frank, such as compensation committee independence tests, compensation advisor requirements, pay-for-performance disclosures, and clawback policies, and it expects to complete rulemaking by December 2011. In this program, Mary J. Mullany, a partner in the law firm Ballard Spahr LLP, will summarize these proposed rules and will provide practical tips and suggestions for incorporating this pending requirements into your practice.
