A letter of intent can be a useful tool in business negotiations, allowing parties to reach an understanding on the big-ticket deal items while providing time and wiggle room to iron out the sticky details and conduct due diligence. There can, however, be significant unintended consequences of entering into a LOI. In fact, you may find yourself legally bound at a point when you're still sizing up the other side. This program will take you through the common pitfalls of the LOI, both from a litigation and a transactional perspective, and offer suggestions about drafting an LOI.
