The margin tax was enacted in 2006, amended in 2007, and the first margin tax returns are due May 15, 2008.Recent experience has caused many to reconsider the form of business entity best for their operations. This seminar will examine the factors in choosing and structuring the proper entity and will explore: the choice of entity; tax overview including the margin tax; corporation, partnership and limited liability company structuring and opt-in decisions; liability of owners; indemnification and limitation of liability; winding up and dissolution of entities; where to organize - Delaware or Nevada?, and how to decide what entity and law to use.
